These Terms of Service ("Terms") constitute a binding legal agreement between you (whether an individual or an entity, hereinafter referred to as "User," "you," or "your") and Depth Pixel LLC, a limited liability company organized under the laws of the State of Wyoming, USA (hereinafter referred to as "PixPin," "we," "us," or "our"), regarding your access to and use of the PixPin desktop software, website (https://pixpin.com), and related services (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. BY DOWNLOADING, INSTALLING, REGISTERING FOR, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY STOP USING THE SERVICE.

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 11) THAT AFFECT YOUR RIGHTS TO RESOLVE DISPUTES WITH US.

1. Accounts and Eligibility

1.1 Age Limitation:
The Service is strictly intended for users who are 16 years of age or older. By registering for or using the Service, you represent and warrant that you are at least 16 years old. If you are under 16, you are not permitted to use the Service.
1.2 Registration:
Certain features (e.g., Pro subscription, Cloud Sync) require you to register for a PixPin account. You agree to provide accurate, current, and complete information during the registration process.
1.3 Account Security:
You are responsible for maintaining the confidentiality of your account credentials. You are strictly prohibited from selling, renting, leasing, or sharing your account with others. You are fully responsible for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect any unauthorized use of your account.

2. License Grant

2.1 Limited License:
Subject to your compliance with these Terms, PixPin grants you a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to download, install, and run the Software on devices owned or controlled by you, solely for your personal or internal business purposes.
2.2 License Restrictions:

Free Version: Access is subject to feature limitations as described on our website.
Pro Version: Grants access to premium features. You may log in to your account on multiple devices owned by you, subject to any device limits specified in your subscription plan. This license is "User-Based," not "Device-Based." Multiple individuals are strictly prohibited from sharing a single subscription account.

3. Subscription, Fees, and Refunds

3.1 Subscription Services:
Certain features of the Service ("Pro Services") are available via subscription (monthly or yearly). You agree to pay all applicable fees at the prices then in effect.
3.2 Automatic Renewal:
Your subscription will automatically renew at the end of each billing cycle unless you cancel it at least 24 hours before the end of the current period. The renewal fee will be charged to your payment method at the then-current rate.
3.3 Cancellation:
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle. You will retain access to Pro Services until the cycle ends.
3.4 Refund Policy:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL FEES ARE NON-REFUNDABLE. We do not provide refunds or credits for any partial subscription periods or unused services.

Exception: If you reside in a jurisdiction (e.g., the European Union or United Kingdom) where consumer protection laws mandate a specific withdrawal period (e.g., a 14-day cooling-off period), we will honor such rights, provided you have not waived them by immediately utilizing the digital content or services. To request a refund under a statutory right, please contact us immediately.

3.5 Price Changes:
We reserve the right to adjust subscription prices at any time. Any price changes will take effect upon your next renewal. We will provide reasonable notice of any price increase, and your continued use of the Service constitutes your agreement to the new price.

4. User Content and Data Processing

4.1 Ownership:
You retain all rights and ownership of the screenshots, images, text, and other data you capture, upload, sync, or store using PixPin ("User Content"). PixPin does not claim ownership of your User Content.
4.2 Local vs. Cloud Processing:
You acknowledge that the Service operates on a hybrid architecture:

Local Processing: Standard Screenshot capturing and basic Optical Character Recognition (OCR) are processed locally on your device.
Cloud Processing: Advanced features, including Text Translation, Table Recognition, and LaTeX Formula Recognition, require data to be transmitted to third-party servers for processing. By using these specific features, you grant PixPin and its third-party service providers a license to transmit and process your User Content solely for the purpose of returning the requested results.

4.3 License to PixPin:
To provide features such as Cloud Sync, Translation, and Advanced Recognition, you grant PixPin a worldwide, royalty-free license to host, store, copy, modify (for technical transcoding purposes only), and transmit your User Content. We do not sell or publicly share your User Content.
4.4 Compliance:
You represent and warrant that your User Content does not violate any laws or third-party rights. PixPin has no obligation to monitor User Content but reserves the right to remove content if we receive a valid takedown notice or are required to do so by law.

5. Third-Party Services

5.1 API Integration:
The Service integrates technical interfaces (APIs) provided by third parties to enable specific advanced functionalities. Specifically:

Translation, Table Recognition, and LaTeX Formula Recognition rely on services provided by third parties, including but not limited to Baidu, Tencent, or Alibaba.
Standard OCR remains a local, offline function.

5.2 Disclaimer:
These third-party services are operated independently. PixPin has no control over them and assumes no liability for the availability, accuracy, completeness, or legality of such third-party services. Any interruption or failure of these third-party APIs that renders parts of the Service unusable shall not constitute a breach of these Terms by PixPin.

6. Prohibited Conduct

You agree not to:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;
Modify, lease, lend, sell, distribute, or create derivative works based on the Software;
Use the Service to upload or transmit any content that is illegal, infringing, pornographic, or offensive;
Bypass or breach any security measures or technical restrictions of the Service;
Share a single subscription account among multiple individuals (including, but not limited to, "group buy" or account-sharing schemes).

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, PIXPIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (C) THE RESULTS OBTAINED FROM OCR OR TRANSLATION FUNCTIONS WILL BE COMPLETELY ACCURATE. YOU USE THE SERVICE AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PIXPIN (DEPTH PIXEL LLC), ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PIXPIN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM. IF YOU HAVE NOT PAID ANY AMOUNTS DURING THIS PERIOD, OUR LIABILITY SHALL BE LIMITED TO ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless PixPin and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your violation of these Terms, your misuse of the Service, or your violation of any third-party rights.

10. Governing Law and Dispute Resolution

10.1 Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
10.2 Dispute Resolution:
The parties agree to first attempt to resolve any dispute arising out of or related to these Terms through friendly negotiation. If negotiation fails, any such dispute shall be exclusively resolved in the state or federal courts located in Sheridan County, Wyoming. You hereby consent to the personal jurisdiction and venue of such courts.
10.3 Class Action Waiver:
YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST PIXPIN ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11. General Provisions

11.1 Modifications:
We reserve the right to modify these Terms at any time. Updated Terms will be effective upon posting on our website. Your continued use of the Service constitutes acceptance of the modified Terms.
11.2 Severability:
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
